This seminar will examine the organization and operation of the United States Securities and Exchange Commission. It will concentrate on the SEC¿s role in regulating the securities markets following the financial market regulatory reforms enacted in the summer of 2010. Topics will include: SEC organization and funding; analysis of the credit crisis; corporate governance developments; SEC systemic regulatory responsibilities; SEC enforcement; broker/dealer regulation; market structure; market volatility; hedge funds; derivatives regulation; credit rating agencies; municipal securities regulation; and international securities regulation. The seminar will be taught by Professor David Ruder, former Chairman of the SEC. From time to time SEC officials, securities lawyers, and others will participate in the seminar. A one draft paper will be required. By agreement with Professor Ruder a limited number of two or three draft papers may be written. The course registration limit is 20.
