Advanced Securities Regulation I. This seminar will examine the organization and operation of the United States Securities and Exchange Commission and the problems it faces in 2008-2009. It is intended to provide a current and intimate view of the operations of the agency charged with protection of investors and the maintenance of fair and efficient capital markets. Operation and regulation of the U.S. and international securities markets will be an important area of inquiry.
From time to time SEC officials, exchange officials, securities lawyers and others will be participating in the seminar.
Papers. Students will be asked to prepare papers either individually or in cooperation with other students on a subject being discussed in the seminar.
Two or three draft papers: By agreement with Professor Ruder a limited number of two or three draft papers may be written.
Examination Option. Students who wish to do so may take a 24 hour take home examination instead of writing a paper.
The texts will be Coffee, Seligman, and Sale, Securities Regulation, Cases and Materials (Foundation Press, 10th Edition 2007). The supplements need not be purchased. Federal securities law statutes and rules can be found at www.uc.edu/CCL/index.html. Other materials will be assigned from time to time. Internet sites are provided for complete versions of certain materials. SEC documents can be found at www.sec.gov. PDF versions of other materials will be posted on Blackboard.
