Commercial Real Estate Finance A practice-oriented examination of commercial real estate finance transactions utilizing actual transaction documents as tools to help identify and analyze the parties' business objectives, interests and concerns, the significant legal issues and risks and the allocation of risks and benefits. Significant attention is directed to: the business rationale of financing and underwriting, negotiation, documentation and enforcement of acquisition, development and construction loans, bridge and permanent loans, mezzanine loans, CMBS loans and other financing devices; enforcement of guaranties and other personal undertakings; troubled, non-performing or defaulted loans and workouts, restructurings, foreclosures, conveyances in lieu of foreclosure, bankruptcy and reorganization relief and lender liability issues.
The class will include discussion of current issues relating to the credit crisis and recession and it¿s impact on commercial real estate with a focus on restructurings, work-outs and enforcement issues.
Teaching Method: Lecture with class discussion.
Evaluation: Final Examination. Class participation will be considered in determining the final grade.

Prerequisites: Property. Desirable but not required - Secured Transactions (UCC Article 9); Business Associations, Partnerships or Corporations (KSM).
