An introduction to the key issues involving corporations, including a brief introduction to partnership and agency, formation of the corporation, limited liability, fiduciary responsibility of officers and directors, the federal proxy rules and the federal law of insider trading, tender offers and takeovers. This course will meet on the University Quarter calendar. Corporations is offered as an alternative to Business Associations for those who wish a one course introduction to the law of business entities. The class will be composed of roughly equal numbers of Kellogg students and law students. Students interested in the Business Association concentration, are probably best advised to enroll in Business Associations rather than this course, although one can still enroll in the concentration if this course is selected.
