Hedge Fund Law

This seminar is designed to bring together both challenging conceptual questions and real-world issues faced by legal advisers to hedge funds, the 21st century's preferred alternative investment vehicle. The practice of the hedge fund lawyer involves not only law and business acumen but a healthy dose of creativity too, as binding precedents in this field are often unavailable. The seminar will be centered on a series of legal/regulatory problems or fact patterns -- drawing on Securities Law/Regulation, Corporations, Tax, as well as various other disciplines -- that confront lawyers who advise hedge funds clients or who practice in-house at hedge funds. Taken together, the seminar will provide a "cradle to grave" overview of a hedge fund's lifecycle, from startup through maturity to wind-down. The seminar will force students to think practically and theoretically across subject matters and disciplines.
