Commercial Finance and IP

This course will examine the basics of bank financing of companies whose primary focus or product involves intellectual property such as patents, copyrights and trademarks. In particular, we'll look at what the parties must do when they (as they most often do) give the bank a collateral security interest (something like a personal property mortgage) on the intellectual property or its products. Along the way, we'll also look at what techniques and provisions the bank will insist upon to ensure that it is paid before all other creditors, both inside and outside of a bankruptcy.
