US Companies in Foreign Markets

This seminar focuses on some critical laws governing entry into and conduct of business for U.S. businesses in foreign markets. The course will explore core U.S. laws such as the Foreign Corrupt Practices Act of 1977, the Sarbanes Oxley Act and the Dodd Frank legislation which regulate corporate behavior not only in the U.S. but also overseas. The course will also examine the impact on U.S. businesses of foreign laws dealing with contracts, corporate governance, intellectual property, labor, antitrust and privacy. In addition, the course will address the mechanisms available for resolving disputes between U.S businesses and other parties. Students will be evaluated based on class participation and a final paper. . Ira Raphaelson has been Executive Vice President and Global Commercial Counsel of Las Vegas Sand Corp, General Counsel of Scientific Games & Corp, a U.S. Attorney, an Illinois States Attorney, and Special Counsel for Financial Institutions at the Department of Justice.
