Structuring Transactions: Commercial Finance The Structuring Transactions seminars are intended to explore practical aspects of structuring corporate, commercial and/or business transactions, including drafting legal documents and negotiating the deal. Instructors typically teach one section a year. Please review the class schedule for which instructors are teaching in any term.
Prerequisites for all sections: Corporations or Business Associations. Some sections may have additional prerequisites or recommended courses. In this case, a basic course in secured transactions is helpful but not required.
This section of Structuring Transactions focuses on the structuring, documentation and closing of financial transactions, with a view to better understand the common principles that underlie most such transactions and the unique idiom of this particular area of corporate practice. The course will begin with the paradigm of a two-party financing involving standard creditor?s remedies and recourse to collateral security. The class will then explore variations on this theme by looking at (i) the leveraged buyout; (ii) the use of bank syndicates; (iii) securitization facilities and alternative structures in the debt capital markets; and (iv) cross-border financing transactions. Throughout the class, students will examine sample documentation used in these transactions, the expectations of the parties to such transactions and the often critical role of third parties.
Method of evaluation: Grades will be based upon drafting assignments, class participation and attendance.
Graduation writing requirements: Drafting assignments and other written work do not meet any of the Law School's graduation writing assignments.
