Business Associations II: Mergers & Acquisitions

In this course, students will learn both the doctrinal and practical aspects of mergers and other acquisition transactions, from conception through due diligence, negotiating the deal, papering the deal, and closing. Along the way, the course will address state law requirements for mergers and acquisitions, approaches for contract negotiation and drafting, fiduciary duties of directors and business managers, and applicable regulatory requirements. The course will also explore legal strategies to avoid hostile takeovers, and the inherent conflict between managers and business owners when considering possible business combinations.
