Course Details

IP Licensing & Transactions

This course will cover the structure and function of license conveyances for patent rights, trade secrets, trademarks and copyrights, and the common agreement terms used to effectuate these conveyances. Variations among different industries and types of licensors (for profit v. non-profit) will be shown by case studies. We will consider both seminal and current case law effecting the terms of license agreements. Guest speakers will present on emerging issues in open source licensing and international licensing. The course will conclude with the students drafting a term sheet for a license based on a set of real-world facts.
