Business and Entrepreneurship Law for LLMs

This course is designed for international students seeking LLM or LLMK degrees. Students will learn U.S. law governing the formation, operation and sale of a privately-held or family business. The topics will include choice of entity, special issues of governance and succession, facilities leases, purchase and lease of equipment and financing same, employment issues, distribution and franchise agreements, intellectual property and advertising issues, real estate acquisition and financing, letters of intent and the sale of assets/equity interests. Prerequisites: Corporations or Business Associations. Helpful courses: Intellectual Property, Antitrust, Securities Regulation, Real Estate Transactions, Contract Drafting and U.S. tax law Presentations: Students will also make oral presentations from time to time on the projects on which they are working, and will be asked, from time to time, to comment on differences between U.S. law and the law of their home countries. Writing Assignments: Students will conduct research and write legal memoranda or opinion letters on hypothetical case studies and will review and draft legal documents (e.g., an operating agreement for a Limited Liability Company). At least one of the three written assignments will be reviewed by the instructor and returned to the student for revisions and resubmission. Evaluation Method: Students will receive grades on each paper and a composite grade for the entire semester based on their attendance, classroom participation and written work. There will be no final examination.
