Structuring Transactions: Environmental Aspects of Real Estate and Commercial Transactions This section of Structuring Transactions is designed to provide students with an overview of the environmental aspects of real estate and commercial transactions. Emphasis is on the practical aspects of buying and selling real property and businesses; in other words, how to get the deal done, but also to protect one's client from environmental liability. Students will develop the skill set to recognize and identify the environmental risks inherent in any business transaction, and quantify and allocate those risks in the context of a deal. Writing projects and associated class discussion of those projects will enable students to systematically analyze environmental business risks, develop their own toolkit of contractual provisions to properly address and allocate environmental issues, and will include a small group-oriented, hands-on mock business negotiation as part of the final project.
Method of Evaluation: Grades will be based on in-class attendance, class participation, and drafting/negotiating projects that build upon one another through the progression of the course.
Prerequisites: None, but other environmental law classes or relevant experience is helpful.
